June 30, 2008 TO: ALL PCNA FIELD MANAGERS Subject: Export Policy During a recent meeting with the Porsche Dealer Board of Regents, Porsche Cars North America, Inc. (PCNA) reviewed a revised policy which will govern future audits and chargebacks pertaining to brokered or exported vehicles. With input from the Board of Regents, PCNA has now finalized the details of this policy, which will become effective July 1, 2008. PCNA issued its current Brokered Vehicle Policy (Policy 17) on December 20, 2002. Policy 17 sets forth PCNA’s position with respect to brokered and exported vehicles and provides certain remedies for violation of the policy. Under the current policy, a dealer found to have sold a car to a non-end for resale, including sale for export to other countries, is subject to a one-for-one vehicle allocation adjustment and ineligibility for “pool cars” in excess of its standard allocation for a period of up to one (1) year. Beginning with sales reported on or after July 1, 2008, dealers who exceed the “exemption” limits defined below will have their vehicle allocations adjusted downward on a one-for-one basis. In addition, if the number of exported vehicles exceeds 5% of a dealership’s rolling 12-month sales, such dealers will also be ineligible to participate in the allocation of “days supply” and “pool” vehicles for a period of up to one (1) year. Finally, the PDMS Co-Op funds attributable to any brokered or exported vehicle will be forfeited and charged back to the dealer’s PDMS . This revised policy includes all vehicles exported out of the United States. While PCNA’s position with respect to brokered and exported cars remains the same, we recognize that there are cases in which a dealer will, despite its best efforts, unknowingly sell a new vehicle to a party which intends to resell it, via export or otherwise. In order to allow for isolated instances of this kind, the following exemptions will apply: •

For Porsche dealers with a rolling 12-month sales volume of fewer than 100 units, vehicle allocation adjustments will be made only to the extent the dealer sells more than one (1) new unit to a broker during any 12-month period;

For Porsche dealers with a rolling 12-month sales volume of 100 units or more, vehicle allocation adjustments will be made only to the extent the dealer sells more than two (2) new units to a broker during any 12-month period.

PCNA now subscribes to the Piers Report as well as to the R.L. Polk export cross sell report, which provides PCNA with a list of all Porsche vehicles exported from this country. Any Porsche vehicle with an export date that falls within six (6) months of the retail delivery date will be treated as a “brokered/exported” vehicle and – to the extent a dealer has exceeded its one or two car “exemption” – the remedy set forth above will be immediately implemented. We wish to stress once again that, in addition to the overarching goal of promoting total customer satisfaction with the Porsche brand, this policy is also aimed at ensuring the accuracy of our retail sales records as well as preserving the integrity of the PCNA vehicle allocation system. You, our Authorized Porsche Dealers, are the “first line of defense” in thwarting the efforts of unscrupulous individuals and companies who purchase our vehicles under false pretences. In that regard, I regret to say that we have recently uncovered serious abuses of our brokering/export policy. Some of our dealers have engaged in multiple transactions that were clearly not to bona fide retail purchasers or lessees. Such conduct is unfair to PCNA, to their fellow dealers and to Porsche customers. Sales to brokers and exporters distort our allocation processes, divert vehicles from dealers who need them and, in the case of vehicles in short supply, may drive up the price of vehicles to our consumers. We intend to take steps to insure that such practices do not continue. Please encourage your sales force to be mindful of unusual purchasing behavior which suggests that a “customer” is acting for another party or may be planning to export a vehicle. Such behavior may include, but is certainly not limited to, multiple vehicle purchases by the same, otherwise unfamiliar, person or company, or requests that the Statement of Origin for a vehicle be left open. In order to assist you, PCNA will continue to update the “List of Known Brokers” on PPN. Please consult this resource frequently.
